IM Paid Group User Terms and Conditions

1. Introduction
1.1 These User Terms ("Terms") govern your participation as a group member in any OKX IM Paid Group ("Paid Group") hosted via the instant messaging platform operated by OKX (“we,” “us”, or “our”).
1.2 By joining a Paid Group, you ("Group Member") agree to comply with these Terms and any additional group-specific rules set by the group owner ("Group Owner"). The Group Owner is the party responsible for managing the Paid Group, including setting membership fees and managing content in the Paid Group.
1.3 These Terms shall supplement our Terms of Service. In the event of any conflict or inconsistency of any term or provision set forth in these Terms and our Terms of Service, such conflict or inconsistency shall be resolved by giving precedence first to these Terms. All other provisions of our Terms of Service not modified by these Terms shall remain in full force and effect. All capitalised not defined herein shall have meaning ascribed to it in the Terms of Service.
2. Joining & Payment
2.1 To join a Paid Group, prospective Members must pay a membership fee ("Membership Fee") set at the sole discretion of the Group Owner.
2.2 All payments of Membership Fee will be processed securely through X Layer, an Ethereum layer 2 (L2) network built by OKX and Polygon using Polygon's CDK.
3. Holding Period and Refunds for the Membership Fee
3.1 Membership Fee paid by the prospective Members will be held in escrow for a holding period ("Holding Period") of up to 30 calendar days commencing from the relevant payment date. The same Holding Period applies to all billing cycles, including but not limited to monthly and yearly subscriptions.
3.2 During the Holding Period, OKX retains sole and absolute discretion to manage, withhold, or refund any Membership Fee. OKX may, at its sole and absolute discretion, make refunds to Members within the Holding Period in cases involving fraud, disputes, or violations of OKX rules and policies.
3.3 Upon expiration of the Holding Period, OKX will disburse the relevant Membership Fee to the respective Group Owner. For the avoidance of doubt, upon the expiry of the Holding Period, OKX is under no obligation to make a refund to the Members except where required by law.
3.4 Once funds have been disbursed to the Group Owner, any and all refund requests, disputes, or claims shall be addressed solely between the Group Member and the Group Owner. Both the Group Owner and the Group Members agree and acknowledge that OKX shall have no further responsibility or liability with respect to such matters.
4. Group Owner Responsibility
4.1 Group Owners assume full responsibility and liability for all content, conduct, and activities occurring within their Paid Groups.
4.2 Acceptance of Group Members: Membership in Paid Group is at the sole discretion of the Group Owner. The Group Owner reserves the right to accept or decline any membership request without providing any reason.
4.3 Removal of Group Members: The Group Owner retains the right to remove any Group Member from any Paid Group at any time, with or without cause. Removal may occur due to violation of group rules, non-payment, disruptive behavior, or any other reason deemed appropriate by the Group Owner.
4.4 No Appeal: Decisions regarding acceptance or removal of Group Members are final and not subject to appeal.
4.5 Group Owners agree to comply fully with all applicable laws, regulations, and OKX policies in managing their Paid Groups.
5. Suspension & Compliance
5.1 OKX reserves the right to suspend or terminate any Paid Group at any time, for reasons including but not limited to fraud, policy violations, or legal and regulatory compliance. Such suspension or termination shall not entitle Group Owners or Members to any refund or compensation from OKX.
5.2 OKX reserves the right to remove any content posted in these Paid Groups that, in its sole discretion, may give rise to civil or criminal liability claims under applicable law or where it deems illegal, illicit, defamatory, or otherwise objectionable. Such removal is undertaken to ensure compliance with legal requirements and community standards. OKX shall not be held liable for any acts taken in good faith to enforce this right, including the removal of content that may be deemed illegal, defamatory, or otherwise objectionable.
6. Limitation of Liability
6.1 OKX is not responsible for any user-generated content, third-party actions, or offline arrangements between Group owner and/or amongst Group Members.
6.2 Participation in any Paid Group is at your own risk and OKX shall not be liable for any loss arising from use of the Paid Group except as otherwise required by law.
7. Miscellaneous
7.1 Full and Entire Understanding. All relevant terms and conditions, user agreements, policies, rules, and announcements (as modified, supplemented, and restated from time to time) that are published on OKX's website constitute the full and entire understanding and agreement between you and OKX regarding Paid Groups.
7.2 New Notices, Announcements, and Updates. OKX may post further announcements with more details on the Paid Groups from time to time at its sole discretion as it deems appropriate. Please closely read and review these notices, announcements, and updates relating to or about the Paid Groups and your continued participation in the Paid Groups after having been notified of these changes constitutes your acceptance of relevant announcements.
7.3 Right to Change or Modify. OKX reserves the right to exclude any Group Owner and/or Group Member from any Paid Group without notice and to suspend or terminate any Paid Group without notice, in its sole discretion.
7.4 Final Decision and Interpretation. OKX reserves the right to interpret the Terms as it sees fit, and reserves the right to change or modify these Terms at any time in its sole discretion.
7.5 Disclaimer. This activity does not constitute and shall not be considered to be (i) investment advice or an investment recommendation; (ii) an offer or solicitation to buy or sell digital assets; or (iii) financial, accounting, legal or tax advice.
